Community Plus.ca / C-Plus.ca Online Member Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE COMMUNITY PLUS PROGRAM AND BEFORE USING THE COMMUNITY PLUS WEB SITE SERVICE. By participating in the Program and/or using the communityplus.ca / c-plus.ca Web site, you agree to be bound by these terms and conditions. If you do not agree to these terms and conditions, please do not participate in the program or use the communityplus.ca / c-plus.ca Web site. Community Plus.ca / C-Plus.ca (“Community Plus”) reserves the right, at our discretion, to change, modify and/or to remove portions of their terms and conditions at any time. You agree to receive notification of modifications to this agreement via the communityplus.ca / c-plus.ca Web site. If you continue to use the communityplus.ca / c-plus.ca Web site and/or participate in the program following the posting of any changes to these terms and conditions, your continued use or participation will mean that you accept these changes and agree to be bound by the new terms. Please check these terms and conditions periodically for changes. Community Plus has established a program to benefit all moral organizations in Canada.  Under the program Community Plus will facilitate the participating members of Community Plus (the “Program”) each member agrees to use the Program in accordance with Community Plus’ policies and procedures in effect from time to time. Each member will not use the Program in a manner that is prohibited by law, rule or regulation. The terms and conditions set forth herewith shall be governed by the Canadian laws, without reference to conflict of laws principles. Any disputes arising out of this Agreement shall be received by binding arbitration with Canadian laws. The prevailing party in any lawsuit or dispute arising from or relating to this Agreement is entitled to recover its costs, including reasonable attorney fees. The Program offers online Advertising & Marketing that allows members to access Community Plus online Network list of members and to purchase goods or services from these member’s web sites. The Program allows merchants to save time and money. The member contracts Community Plus to place advertisements on it’s Websites. The member agrees to pay in advance for each term the amount stated in the agreement. Community Plus agrees to publish the Website, and place the member advertisement to be distribute in the Publication system for the agreed term of the agreement provided that the member is not in arrears of its payment(s). The member shall insure that all advertisement copy given for publication is not copyrighted material or has written permission from the author of any copyrighted material and agrees that COMMUNITY PLUS will not in anyway be held liable for any charges and/or legal actions that may be taken. The member agrees to waive its right of content of any advertisement and agrees that COMMUNITY PLUS finds its sole judgment to be inappropriate for its publication Online and off line. The member agrees that Community Plus shall not be held libel for any non-delivery of the publication(s) on time to any outlet and/or district including online Internet services because of circumstances beyond its control. Natural or otherwise. In such event COMMUNITY PLUS will publish the member’s ad in the following edition at no extra charge. Community Plus shall be save harmless for any typographical errors. And its only liability shall be to print a correction at no cost to the member. Community Plus may cancel the term of any agreement by refunding any unused portion of a payment by the member. Where an organization is inactive with the Program, the organization has 90 days from the last day of to activate by enrolling in the Program to receive said contributions. If the organization does not enroll within 90 days from the last day the organization forfeits all rights. An active organization is defined as an organization that has completed the Program enrollment form and meets criteria for enrollment, and agrees to the terms and conditions of said enrollment. To link on the communityplus.ca / c-plus.ca websites to the members site, make a purchase, and make payment for the purchase directly to the member. The amount of payable varies, depending on the member and the item or service that the merchant purchases.  An adjustment in the event of returns by the merchant and subject to other terms and conditions between members and the Merchants purchase can be applied.

Merchants understand that Community Plus does not operate or control the products or services offered by participating Members. The members are responsible for all aspects of order processing, fulfillment, billing and customer service. Community Plus is not a party to the transactions entered into between members and participating merchants. EACH MEMBER AGREES THAT PARTICIPATION IN THE PROGRAM IS AT THE SOLE RISK OF THE MEMBER AND THAT THE PROGRAM IS PROVIDED “AS IS” AND WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED OR OTHERWISE, INCLUDING THE IMPLIED WARRANTIES OF TITLE, FINES FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR NONINFRINGEMENT. UNDER NO CIRCUMSANTES SHALL COMMUNITY PLUS OR ITS AFFILIATES BE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN MEMBERS AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON MERCHANT SITES OR ANY OTHER SITE LINKED TO THE COMMUNITYPLUS.COM SITE. IN NO EVENT SHALL COMMUNITY PLUS NOR ITS AFFILIATES BE LIABLE TO MEMBERS FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND THAT MAY RESULT FROM THE USE OF OR THE INABILITY TO USE THE PROGRAM OR FROM THE FAILURE TO MAKE CONTRIBUTIONS TO THE DESIGNATED ENROLLED ORGANIZATIONS, REGARDLESS OF WHETHER COMMUNITY PLUS OR ITS AFFILIATES WERE MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE. EACH MEMBER AUTHORIZES COMMUNITY PLUS AND ITS AFFILIATES TO PERFORM ALL ACTIONS NECESSARY HEREUNDER, INCLUDING WITHOUT LIMITATION, THE DIRECTING OF CONTRIBUTIONS TO ANY ENROLLED ORGANIZATION DESIGNATED BY THE MEMBER.

All trademarks, logos and service marks (“Marks”) displayed on the communityplus.ca / c-plus.ca Web site are the property of Community Plus and other parties. Members are prohibited from using any Marks for any purposes without the written permission of Community Plus or such third party, which may own these Marks. All information and content on the communityplus.com web site, including software programs available on or through the communityplus.ca / c-plus.ca Websites (“Content”) is protected by copyright. Members are prohibited from copying, modifying, distributing, transmitting, displaying, publishing, selling, licensing, and creating derivative works of or from using any Content available on or through the communityplus.ca / c-plus.ca Web site for public or commercial use.

Community Plus has established a program to benefit all moral organizations in Canada.

When a merchant of Community Plus makes a purchase from participating members, the participating member is, pursuant to its Terms and Agreements With Community Plus.

During a participating organization’s enrollment in the Program, the Company and the participating organization shall have the right to indicate to the public that the participating organization is an authorized participant in the Program. The participant shall first be submitted to Community Plus for approval of design, color and other details business info. Participating organizations shall not use the Community Plus Marks in any manner that would be inconsistent with or damaging to Community Plus’ name or reputation.

“Confidential Information” shall mean any trade marks, confidential data, or other confidential information of Community Plus or each of the participating organizations and is deemed to include each participating organization’s banking information (the “Confidential Information”). Neither Community Plus nor any of its participating organizations shall use any Confidential Information of the other for any purpose not authorized under the terms and conditions set forth herewith, and shall not disclose any such Confidential Information to any third party except as required by law. Each participating organization’s supporters’ registered identification numbers are Confidential Information and will be disclosed by the Company only to participating merchants to calculate rebates, Program processors, or as otherwise permitted by law. The terms and conditions set forth herewith shall remain in effect until terminated by either party upon thirty (30) days’ written notice to the other party.

The participating organizations may not assign any rights or obligations hereunder, directly or indirectly by operation of law or otherwise, without the prior written consent of Community Plus. The terms and conditions set forth herewith shall be governed by the Canadian laws, without reference to conflict of laws, and principles. Any disputes arising out of this Agreement shall be received by binding arbitration in Canada,  in accordance with the rules of the Canadian Arbitration Association. The prevailing party in any lawsuit or dispute arising from or relating to this Agreement is entitled to recover its costs, including reasonable attorney fees.

Community Plus’ obligation to deliver funds under the Program is expressly conditioned upon Community Plus receiving funds from participating merchants. Community Plus makes no representations or warranties, expressed or implied, statutory or otherwise, with respect to the Program or as to any matter whatsoever. In particular and without limitation, Community Plus disclaims any and all warranties of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement of third party rights.

Community Plus shall not be liable for any damages, including without limitation direct or indirect damages, incidental, special or consequential damages, loss of profits or revenue, or interruption of business, in any way arising out of or related to the Program, regardless of the forms of action, whether in contract, tort (including negligence), strict products liability or otherwise, even if Community Plus or any representative of Community Plus has been advised of the possibility of such damages.

Community Plus reserves the right to discontinue or alter the terms of the Program, including but not limited to, the participating members, at any time without prior notice.

By participating in the Program, all individuals, member and organizations have agreed to be bound by the terms and conditions set forth herewith. These terms and conditions constitute the entire agreement between Community Plus and all participants in the Program. Other than Special Terms that may be entered into an approved by an officer of Community Plus the above terms and conditions constitute the whole of this agreement and no other terms and conditions apply.
